General Terms and Conditions

These General Terms and Conditions apply to all quotations, tenders, scheduled maintenance, and reactive service works provided by Adapt Essential Services Pty Ltd (“Adapt”).
By engaging Adapt, the Customer agrees to these terms. Adapt may update these terms periodically — see “Revisions to Terms and Conditions” below for details.


1. Service Hours and Working Week

Standard service hours are from 7:30 AM to 4:00 PM, Monday to Friday.

Emergency services are available 24/7 and may incur additional charges.

All work shall be executed on the basis of a five-day, 38-hour ordinary working week, Monday to Friday, with a rostered day off every four weeks.


2. Overtime

Quoted prices are based on work being conducted during normal working hours.
If overtime is required, additional charges shall apply and will be supplementary to the contract amount.

Overtime or after-hours work will only proceed with prior approval from the Customer or their authorised representative, unless required for safety or emergency purposes.


3. Access to Premises

The Customer must ensure Adapt has suitable access to premises and necessary facilities to perform the services.

The Customer shall ensure all work areas are safe and free from hazards and must notify Adapt of any site access requirements, inductions, or sign-in processes.
Any time spent completing mandatory inductions or access procedures may be invoiced as a variation.

If access is delayed or unavailable for reasons beyond Adapt’s control, the resulting downtime may be charged at standard hourly rates.


4. Health and Safety

Adapt shall comply with all applicable health and safety regulations, including the Occupational Health and Safety Act 2004 (Vic), AS/NZS 3019, and other relevant industry standards.

The Customer must inform Adapt of any known hazards or safety concerns on the premises.

When accessing switchboards, the area must be safely barriered, and two persons provided as lookouts.
If a switchboard is live during inspection, only a visual inspection may occur — no manipulation of wiring infrastructure is permitted.
If manipulation is required, it must be scheduled when the switchboard can be isolated safely during normal hours.


5. Materials and Equipment

Adapt will supply all necessary materials and equipment unless otherwise agreed.

Customer-supplied materials must be approved by Adapt to ensure compliance and safety.
Where Customer-supplied materials are used, Adapt provides no warranty on those materials or consequential failures arising from them.


6. Permits and Approvals

Adapt shall obtain all required permits and approvals unless otherwise agreed.
The Customer must assist in providing access or permissions necessary for the works.


7. Quality of Work

All work will be performed in a professional manner and in accordance with industry standards and relevant legislation.

Adapt warrants that all workmanship and materials provided will be free from defects for 12 months from the completion date.
Adapt’s liability under this warranty is limited to the repair or replacement of defective work, at Adapt’s discretion.


8. Payments

Invoices are payable within 14 days of issue unless otherwise agreed.

Progress claims will be made monthly for the value of work completed or materials supplied.
Late payments may attract interest at 2% per month or the maximum allowable under applicable law, whichever is lesser.


9. Validity Period

All quotations remain valid for 30 days from the date of issue unless otherwise stated.


10. Supply Authority Charges

Unless specifically included, Adapt’s quotations exclude any Supply Authority or statutory charges.
Any such costs, if applicable, will be additional to the quoted price.


11. Liability and Insurance

Adapt maintains appropriate public liability and workers’ compensation insurance.

Adapt shall not be liable for any damage or loss resulting from the Customer’s negligence, delay, or failure to comply with these conditions.


12. Termination

Either party may terminate this agreement by providing written notice (typically 30 days).

Adapt may suspend or terminate works immediately if unsafe conditions, non-payment, or regulatory breaches are identified on site.


13. Dispute Resolution

Disputes shall first be resolved through good-faith discussions.
If unresolved, either party may refer the matter to mediation or arbitration as mutually agreed.
Each party shall bear its own costs of mediation unless otherwise determined by the mediator.


14. Additional Provisions

  • Site parking must be provided by the Customer. Any parking costs or delays in securing access will be invoiced as a variation.
  • Adapt accepts no responsibility for errors or omissions in documentation and recommends proposed works be approved by a building surveyor to ensure compliance.
  • Urgent response time is typically within 1–2 hours, depending on urgency. After-hours penalties apply (minimum 4-hour charge for works after 5 PM or on weekends).
  • Replacement of tubes and fittings will be charged at trade price in addition to any quotation. Disposal will comply with EPA standards.
  • Clear, editable drawings must be provided to allow record updates in CAD/DXF format.
  • Where Adapt personnel are required to use non-Adapt applications for job or data management, a 15% surcharge will apply to cover administrative overheads.

    – FacilitiesOrganizer
    – Adapt iPhone/iPad App

15. Regional Works and Travel Allowance

For works undertaken outside a 50 km radius of Adapt’s Dandenong South office, a regional multiplying factor will apply to cover additional travel, accommodation, and meal costs:

  • Within 50 km – Standard rate (×1.0)
  • 50–100 km – ×1.4
  • 100–200 km – ×1.8
  • 200–300 km – ×2.2
  • 300–400 km – ×2.6

For works exceeding 400 km or requiring extended accommodation, specific arrangements will be agreed upon in writing prior to commencement.
These multipliers apply directly to Adapt’s Schedule of Rates and ensure consistent service delivery and fair cost recovery for regional and remote works.


16. Price Adjustments

During the first year of the Contract Term, Adapt shall be compensated according to the agreed “Lump Sum” or “Schedule of Rates”.

Rates remain firm for 12 months from the commencement date and are thereafter subject to annual rise and fall adjustments based on the Consumer Price Index (All Groups, Melbourne), using the following formula:

AR = R × [1 + (CPI_B – CPI_A) / CPI_A]

Where:
AR = adjusted rate
R = original rate
CPI_A = CPI at commencement date
CPI_B = CPI at review date


17. Revisions to Terms and Conditions

Adapt Essential Services may periodically review and update these General Terms and Conditions to reflect operational, regulatory, or business changes.

Any updates will take effect 14 days after written or electronic notice has been provided, including via email, invoice footer, or publication on our website at adapt.net.au/general-conditions.

Continued engagement of Adapt’s services after such notice constitutes acceptance of the updated terms.
